Main Capital Funding Limited Partnership – June 2005

Ben Robins and Martin Eccles advised on a €250,000,000 transaction for Helaba Landesbank Hessen-Thüringen Girozentrale involving the establishment of a Jersey limited partnership (with a Jersey general partner) which issued Capital Securities and used the proceeds of issue to acquire a silent capital interest in the commercial enterprise of Helaba. The Capital Securities were listed on Eurolist by Euronext Amsterdam N.V. and the Frankfurt Stock Exchange. The joint book-runners were ABN AMRO Bank N.V., Lehman Brothers and Helaba.Lehman Brothers were sole structuring adviser. Freshfields Bruckhaus Deringer, Frankfurt were lead counsel to the joint book-runners.
