Mourant advises on significant redomiciliation Scheme of Arrangement

Mourant has advised Endeavour Mining Corporation (EMC), a prominent multi-asset gold producer, in relation to a scheme of arrangement (the Scheme) used to redomicile the jurisdiction of incorporation of the parent company of the Endeavour group (the Group) from the Cayman Islands to England & Wales.

The Scheme is significant given that it facilitated the shares of the new parent company of the Group being admitted to the premium listing segment of the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange main market, as well as to trading on the Toronto Stock Exchange (the TSX). Prior to the Scheme, the shares of EMC were listed solely on the TSX. The new listing will reportedly see Endeavour become the largest pure gold producer on the premium segment of the LSE.

The Mourant team (Peter Hayden, Ramesh Maharaj, Harry Rasmussen, Andrew Grant and Adam Barrie) played a significant role in effectuating the Scheme and advised on all aspects of Cayman law and process, ultimately appearing before the Grand Court on 9 June 2021 to obtain sanction of the Scheme.
