We are pleased to have acted as Guernsey legal advisor to Miami International Holdings, Inc. (MIH) in connection with its successful acquisition of The International Stock Exchange Group Limited (TISE) via a Court-sanctioned scheme of arrangement in Guernsey.
The transaction, valued at approximately £70.4 million ($91.5 million), marks a significant milestone for MIH’s international growth strategy, extending its footprint into the European financial markets through TISE – a leading venue for professional bond markets and sustainable finance.
Our Finance and Corporate team in Guernsey provided comprehensive legal advice throughout the acquisition, ensuring compliance with Guernsey regulatory frameworks and advising MIH on its navigation of the court approval process for the scheme of arrangement. The Mourant deal team was led by Partner – Frances Watson with support from Counsel – Gary Hall, and Associate – Amelia Bridel. Advocates Abel Lyall and Alex Garner also assisted on the court approval aspects, and Carla Benest and Laurie Child from our Jersey office advised on Jersey competition law aspects.
