We recently advised Ticketplus Ltd., a technology company that operates a proprietary, full-stack technology platform powering live entertainment across Latin America, on the Cayman Islands legal aspects of its group restructure and US$15 million initial public offering on NYSE American.
Ticketplus Ltd. (NYSE American: TP) announced the closing of its initial public offering on 10 August 2026. The offering comprised 1,875,000 ordinary shares at US$8.00 per share, raising total gross proceeds of US$15 million before underwriting discounts, commissions and other offering expenses. Ticketplus’ ordinary shares began trading on NYSE American on 7 August 2026 under the ticker symbol TP.
With operating headquarters in Santiago, Chile, Ticketplus has a presence in 11 countries and operates through a combination of direct operations in Chile and a SaaS model across the wider region, where its platform is licensed to local ticketing companies, venues and promoters operating under their own brands.
The IPO marks a significant milestone for Ticketplus as it supports its next phase of growth as a Latin American technology platform serving the live entertainment industry by bringing the company to the US public markets.
According to the company’s prospectus, Ticketplus processed more than 10.2 million tickets across more than 39,800 events in 2025, serving more than 2,800 promoters, with total platform sales of approximately US$268.9 million. This scale, combined with its proprietary, full-stack technology platform spanning payments, access control, analytics and ticketing, positions the transaction as an important example of a Latin American growth technology business using a Cayman Islands structure to access the US capital markets.
“We are pleased to have advised Ticketplus on this important step in its growth journey. The transaction demonstrates the continued strength of Cayman Islands issuers in US listings, and highlights Mourant’s experience advising on complex cross-border listing transactions.”
Led by Partner Tom McLaughlin, with support from Associate Paris Goode, our team advised on the Cayman Islands legal aspects of Ticketplus’ transition to a Cayman Islands holding company structure, the implementation of its share class restructure and the corporate framework for its NYSE American IPO, bringing together pre-IPO structuring and US capital markets execution.
Bevilacqua PLLC acted as US securities counsel to Ticketplus and Lucosky Brookman LLP acted as US securities counsel to the underwriters. Roth Capital Partners, Bancroft Capital LLC and MDB Capital acted as joint book-running managers for the offering.
This press release is issued by Mourant and shall not constitute an offer to sell or the solicitation of an offer to buy any securities.
